Terms of Service

These terms govern your use of the ChargeWay platform and all services provided by Chasebig Limited. Please read them carefully before using our services.

1. Agreement to Terms

By accessing or using the ChargeWay website (chargeway.africa), mobile applications, or any services offered by Chasebig Limited ("ChargeWay," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use our platform or services.

Chasebig Limited is a company incorporated in the Federal Republic of Nigeria (RC No. 1855347), with its registered office at 1 Kandi Close, Off Aminu Kano Crescent, Wuse 2, Abuja, Nigeria.

2. Description of Services

ChargeWay operates an integrated electric vehicle (EV) platform providing the following services:

  • EV Marketplace: Browsing, purchasing, and selling new and pre-owned electric vehicles.
  • Vehicle Import Services: Sourcing, shipping, customs clearance, and delivery of electric vehicles from international markets to Nigeria.
  • Asset Management: Fleet deployment, buy-to-resell, and wholesale ownership programmes.
  • Luxury Ride-Hailing: EV-based ride bookings across multiple service tiers.
  • EV Care: Directory and booking of certified EV mechanics.
  • Charging Station Map: Information about EV charging locations across Nigeria.
  • Learning Hub: Educational content about electric vehicles and the EV ecosystem.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding agreements under Nigerian law to use our services. By using ChargeWay, you represent and warrant that you meet these requirements.

4. Vehicle Import and Purchase Terms

This section applies to all vehicle purchases, imports, and related transactions facilitated through ChargeWay.

4.1 Pricing and Fees

  • All vehicle prices displayed on the platform are indicative and quoted in Nigerian Naira (NGN) unless otherwise stated.
  • Prices are subject to change based on exchange rate fluctuations, shipping costs, customs duties, and other variable factors at the time of purchase.
  • The final price will be confirmed in writing before any payment is required. No transaction is binding until both parties have agreed to the final amount.
  • Quoted prices include the cost of the vehicle as sourced from the supplier. Shipping, customs duties, clearing charges, registration fees, and delivery costs will be itemised separately.

4.2 Customs Duties and Government Levies

  • All vehicles imported into Nigeria are subject to customs duties, levies, and taxes as determined by the Nigeria Customs Service (NCS) and other relevant government authorities.
  • ChargeWay will provide estimates of duty and clearing costs, but these are not guaranteed. Actual amounts are determined by government authorities at the time of clearance and may differ from estimates.
  • The buyer is ultimately responsible for all customs duties, levies, and government charges associated with the imported vehicle, even if ChargeWay facilitates the clearance process on the buyer's behalf.
  • Any changes to import tariffs, regulations, or government policies after a purchase is initiated are the financial responsibility of the buyer.

4.3 Shipping and Delivery

  • Estimated delivery timelines are provided in good faith but are not guaranteed. Delays may occur due to shipping logistics, port congestion, customs processing, adverse weather, or other factors beyond our control.
  • ChargeWay is not liable for delays caused by third-party shipping companies, port authorities, customs officials, or force majeure events.
  • Risk of loss or damage to the vehicle transfers to the buyer upon delivery to the agreed destination within Nigeria, unless marine or transit insurance has been separately arranged and paid for.
  • We strongly recommend that buyers purchase marine transit insurance for all imported vehicles. ChargeWay can facilitate this on request, but it is the buyer's responsibility to confirm coverage.

4.4 Vehicle Condition and Inspection

  • All vehicles undergo inspection before shipping. Photos, condition reports, and battery health data (where available) are shared with the buyer before shipment.
  • Pre-owned vehicles are sold in their inspected condition. Minor cosmetic wear consistent with the vehicle's age and mileage is expected and does not constitute a defect.
  • The buyer must inspect the vehicle within 48 hours of delivery and report any discrepancies in writing. Claims raised after this period may not be honoured.
  • ChargeWay does not manufacture vehicles and makes no representations regarding the manufacturer's warranty. Any original manufacturer warranty that applies will be communicated to the buyer.

4.5 Payment Terms

  • Vehicle purchases require a non-refundable deposit (typically 30-50% of the agreed price) to initiate the sourcing and import process.
  • The balance is due before or upon delivery, as specified in the purchase agreement.
  • Deposits are non-refundable once the vehicle has been sourced or shipped, as ChargeWay incurs costs on your behalf from the point of sourcing.
  • If a buyer fails to pay the balance within the agreed timeframe, ChargeWay reserves the right to resell the vehicle and apply the deposit toward any costs incurred.

4.6 Cancellation and Refunds

  • Orders may be cancelled before the vehicle has been sourced from the supplier. A cancellation fee of up to 10% of the deposit may apply to cover administrative costs.
  • Once a vehicle has been sourced, purchased from the supplier, or shipped, the deposit is non-refundable.
  • Refunds, where applicable, will be processed within 30 business days.

5. Marketplace Terms

5.1 Escrow-Backed Transactions

  • All marketplace transactions between buyers and sellers are processed through Paystack-powered escrow to protect both parties.
  • Buyer funds are held in escrow until the vehicle has been delivered and inspected. Funds are released to the seller only after the buyer confirms satisfactory delivery.
  • If a dispute arises, ChargeWay will mediate in good faith. Our determination on marketplace disputes is final.

5.2 Seller Obligations

  • Sellers must provide accurate descriptions, photos, and condition information for all listed vehicles.
  • Misrepresentation of a vehicle's condition, history, or specifications may result in removal from the platform and forfeiture of escrow funds to the buyer.
  • ChargeWay charges a 5% commission on completed sales, which is deducted from the sale proceeds before disbursement.

5.3 Buyer Obligations

  • Buyers must inspect vehicles within the agreed inspection window and raise any concerns promptly.
  • Failure to inspect or respond within the specified timeframe will be treated as acceptance of the vehicle, and escrow funds will be released to the seller.

6. Asset Management and Fleet Deployment Terms

6.1 Fleet Deployment Programme

  • Vehicle owners who deploy their EVs into the ChargeWay ride-hailing fleet will enter into a separate Fleet Management Agreement detailing earnings, fees, driver policy, insurance, and termination conditions.
  • ChargeWay charges an all-in management fee (currently 18%) on gross ride earnings, which covers driver management, insurance, maintenance, and charging costs.
  • Earnings are remitted monthly to the vehicle owner's designated account.

6.2 Buy-to-Resell Programme

  • Participants purchase vehicles through ChargeWay at import pricing and list them on the marketplace for resale.
  • ChargeWay charges a 5% commission on the final sale price.
  • Sale timelines are estimated (typically within 180 days) but not guaranteed. ChargeWay does not guarantee that a vehicle will sell within any particular timeframe.

6.3 No Investment Advice

ChargeWay is not a financial institution, investment adviser, or securities dealer. The asset management programmes are vehicle ownership and management services, not investment products. Past performance or projected earnings are not guarantees of future returns. You should seek independent financial advice before committing funds.

7. Ride-Hailing Terms

7.1 Booking and Cancellation

  • Ride bookings are subject to driver and vehicle availability. Confirmation of a booking is not guaranteed until a driver has been assigned.
  • Cancellations made less than 1 hour before the scheduled pickup time may incur a cancellation fee.
  • ChargeWay reserves the right to cancel a ride at any time due to safety concerns, vehicle issues, or other operational factors.

7.2 Passenger Conduct

  • Passengers must treat drivers and vehicles with respect. Abusive, threatening, or dangerous behaviour will result in immediate termination of the ride and potential banning from the service.
  • Passengers are responsible for any damage to the vehicle caused during the ride.
  • Smoking, consumption of alcohol, and transport of illegal substances are strictly prohibited in all ChargeWay vehicles.

7.3 Liability

ChargeWay carries appropriate vehicle insurance for its ride-hailing fleet. However, ChargeWay is not liable for personal belongings left in vehicles, delays caused by traffic or road conditions, or any indirect or consequential loss arising from the use of our ride-hailing service.

8. EV Care and Mechanic Services

  • ChargeWay connects EV owners with certified mechanics listed on our platform. Mechanics are independent service providers, not employees of ChargeWay.
  • While we verify and certify mechanics through our training programme, ChargeWay does not guarantee the outcome of any specific repair or service.
  • Any agreement for services is between you and the mechanic. ChargeWay is not a party to that agreement and is not liable for any damage, loss, or dissatisfaction arising from mechanic services.
  • If you experience an issue with a certified mechanic, please report it to us. We take quality seriously and will investigate all complaints.

9. Charging Station Information

  • Charging station data on our platform is provided for informational purposes only. We make reasonable efforts to keep information accurate and up to date, but we do not guarantee the availability, operational status, or pricing of any charging station.
  • Charging stations are owned and operated by third parties. ChargeWay is not responsible for the quality, safety, or availability of any third-party charging infrastructure.

10. Payments and Pricing

  • All payments are processed in Nigerian Naira (NGN) unless otherwise agreed in writing.
  • Online payments are processed through Paystack, a PCI-DSS compliant payment processor regulated by the Central Bank of Nigeria. ChargeWay does not store your card details.
  • Bank transfers and direct payments may be accepted for vehicle purchases as specified in individual purchase agreements.
  • All prices are subject to applicable taxes and levies under Nigerian law.

11. Intellectual Property

All content on the ChargeWay platform, including text, images, logos, design, software, and the ChargeWay brand identity, is the property of Chasebig Limited or its licensors and is protected by Nigerian and international intellectual property laws.

You may not reproduce, distribute, modify, or create derivative works from any content on our platform without prior written consent from Chasebig Limited.

12. Prohibited Conduct

You agree not to:

  • Use the platform for any unlawful purpose or in violation of Nigerian law.
  • Submit false, misleading, or fraudulent information in any form or listing.
  • Attempt to interfere with, disrupt, or compromise the platform's security or infrastructure.
  • Scrape, harvest, or collect data from the platform without authorisation.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Use the platform to facilitate money laundering, terrorism financing, or any activity prohibited under Nigerian law.

13. Disclaimers and Limitation of Liability

13.1 Platform Disclaimer

The ChargeWay platform and all services are provided on an "as is" and "as available" basis. To the fullest extent permitted by Nigerian law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

13.2 Vehicle Disclaimer

ChargeWay is not the manufacturer of any vehicle sold or listed on the platform. We do not warrant or guarantee the performance, durability, or safety of any vehicle beyond what is stated in the specific vehicle's inspection report. Pre-owned vehicles are sold in their inspected condition, and normal wear and depreciation are expected.

13.3 Limitation of Liability

To the maximum extent permitted by law, Chasebig Limited, its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising from:

  • Your use of, or inability to use, our platform or services.
  • Delays in vehicle delivery caused by shipping, customs, or port authorities.
  • Actions or omissions of third-party service providers, including mechanics, drivers, payment processors, or shipping companies.
  • Changes in government tariffs, duties, regulations, or policies affecting vehicle imports.
  • Inaccuracies in charging station data or third-party information displayed on the platform.

Our total aggregate liability for any claim arising from or related to these terms or our services shall not exceed the amount you paid to ChargeWay for the specific service giving rise to the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Chasebig Limited, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

  • Your breach of these Terms of Service.
  • Your use of the platform or services.
  • Any misrepresentation you make in a marketplace listing or transaction.
  • Your violation of any applicable law or regulation.

15. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

16. Dispute Resolution

In the event of a dispute arising from these terms or the use of our services:

  • Negotiation: The parties shall first attempt to resolve the dispute through good faith negotiation within 30 days of written notice.
  • Mediation: If negotiation fails, the dispute shall be referred to mediation under the rules of the Lagos Court of Arbitration (LCA) or another mutually agreed mediation body.
  • Litigation: If mediation fails, the dispute shall be submitted to the exclusive jurisdiction of the courts of the Federal Capital Territory, Abuja, Nigeria.

17. Force Majeure

ChargeWay shall not be liable for any failure or delay in performing our obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, government actions, port closures, shipping disruptions, changes in import regulations, sanctions, currency restrictions, or failures of third-party services.

18. Severability

If any provision of these terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

19. Changes to These Terms

We reserve the right to modify these Terms of Service at any time. Changes will be posted on this page with an updated "Last updated" date. For material changes affecting ongoing transactions or agreements, we will make reasonable efforts to notify affected users via email. Continued use of the platform after changes are posted constitutes acceptance of the revised terms.

20. Entire Agreement

These Terms of Service, together with our Privacy Policy and any specific service agreements (such as Fleet Management Agreements or Purchase Agreements), constitute the entire agreement between you and Chasebig Limited regarding the use of our platform and services.
